AFFILIATE PARTNER POLICY

TERMS & CONDITION

Please read the entire policy.

This is a policy by Golden Jaguar Jewellery Sdn Bhd (GJ Jewellery) [Brand].

1. Purpose

This Policy sets out the binding terms and conditions under which Affiliates may promote Golden Jaguar Jewellery Sdn Bhd ("GJ Jewellery" or "the Brand") and its products. All affiliates are expected to adhere strictly to the standards set herein.

2. Product Guidelines

The Affiliate agrees to promote Brand’s product with the following terms:

Golden Jaguar Jewellery’s Rules

• Cannot create GJ Jewellery new listing.
• Cannot edit/amend GJ Jewellery listing price.
• Maintain good reputation of GJ Jewellery.
• Strictly not to carry others 24K gold plated jewellery product.

 3. Discount & Promotion

• Affiliates shall not create or apply any discounts, promotions, or vouchers without prior written approval from the Brand’s management.
  • All livestream discounts, flash sales, or price manipulations require pre-approval.
  • Exceptions may be granted for designated marketing listings, such as “Emas RM2,” subject

to written instruction.

 4. Not to Overcommit

Affiliate agrees not to overcommit, exaggerate, or make misleading claims about the products listed above. This includes, but is not limited to, warranty terms, product features, and quality.

5. Compliance & Behaviour

• All affiliates must comply with:
  1. Applicable Malaysian laws (Consumer Protection Act, Trade Descriptions Act),
  2. Platform-specific guidelines (e.g. TikTok Shop, Shopee, Lazada),
  3. Brand-specific SOPs and livestream scripts.

 6. Confidentiality & Intellectual Property

• All materials provided to affiliates (e.g., product photos, livestream scripts, training content, SOPs) are the intellectual property of GJ Jewellery.
• Affiliates are strictly prohibited from cropping, modifying, reusing, or republishing any such materials, including after termination.
• Any unauthorised use may constitute copyright infringement, breach of confidence, or passing off and shall entitle the Brand to take legal action.

 7. Multi-Account & Competing Store Policy

• Affiliates shall not operate or control more than one seller account or alternate store for the sale of similar or competing products during their tenure.
• The use of nominee accounts, third-party storefronts, or “side shops” to carry gold jewellery is

prohibited without express written approval.

 8. Termination & Breach Consequences

• The Brand reserves the right to terminate the Affiliate’s participation without policy if:
  1. There is any breach of Clauses 2, 3, 4, 6, or 7,
  2. There is evidence of brand confusion, misuse of materials, or violation of policy.
• The Brand reserves the right to seek:
  1. Injunctive relief,
  2. Public clarification from the offending party, and

  3. Compensation for loss of goodwill, business, and brand dilution.

 9. Post-Termination Restrictions

• Upon termination or exit, the Affiliate shall immediately cease all use of the Brand’s:
  1. Name, logo, photos, SOPs, customer base, and scripts.
  2. The obligations under Clauses 7 and 8 shall survive termination and continue to bind the Affiliate for twelve (12) months.

 10. Legal Rights & Enforcement

• This Policy constitutes a binding agreement between the Affiliate and the Brand.
  • GJ Jewellery reserves the right to enforce all terms herein by way of civil claim, injunction, or other legal remedies without limitation.
  • This Policy shall be governed by the laws of Malaysia and subject to the jurisdiction of Malaysian courts.

 11. Indemnification

Affiliate agrees to indemnify and hold harmless Brand from any claims, damages, or losses resulting from breaches of this agreement or misrepresentations regarding Brand's products. Affiliate shall bear responsibility for any liabilities arising from its failure to adhere to the terms of this Agreement.

12. Acknowledgement & Acceptance

By joining or continuing as an Affiliate under the Golden Jaguar program, you are deemed to have read, understood, and agreed to all the terms herein, even if unsigned.

13. Penalty charges:

Non-compliance with the established guidelines may lead to penalties, including RM5,000 for the first warning, RM10,000 for the second warning, and RM20,000 for the third warning. Persistent violations may result in termination. This progressive approach emphasizes the importance of adherence to maintain the integrity of our policies and standards.

14. Entire Policy

This policy constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior policy and understandings, whether written or oral. In the event of a breach of this policy, the Brand reserves the right to take appropriate action. The Brands reserve the right to amend, modify, or change any terms and conditions of this policy at their sole discretion, without prior policy to the other party.
